A charitable company is a private company limited by guarantee with objects that are charitable by law as determined by the Charity Commission, which regulates charities in England and Wales. The legal definition of a charity is an organization whose purposes are (a) the relief of financial hardship; (b) the advancement of education:(c) the advancement of religion and (d) other purposes beneficial to the community. This is the type of company most people set up as a non-profit making entity to provide assistance to others.

The first step towards setting up a charity is to file the company. We prepare the company documents with the language required by the Charity Commission for a fee of £99 plus vat. All you will need to provide to us are the charitable objects and details of three directors. We can provide electronic confirmation of the filing for an additional £14.95.

The second step is to register your company with the Charity Commission and obtain your charity number. Remember, it is extremely important that you have the charity number in order to sponsor events, solicit donations and to obtain the tax breaks available to registered charities. We can prepare your Charity Commission application for £249.95 plus vat. Included within this fee is a face to face consultation with a solicitor to discuss the application and the way you will operate the charity. We will prepare the application and deal with any subsequent questions the Charity Commission may have. By allowing professionals to handle this filing you avoid mistake or delays which may prevent you from obtaining your number. For a fee of £150 plus VAT we can assist you with opening a banking account in the United Kingdom. What we require from you is a valid passport photo identification of each director and secretary as well as proof of current residential address in  the form of an original bank statement, tax bill or utility bill to the residential address.

United States Business Checking, Investment Account and Delayed Debit Gold MasterCard
Let Spiegel & Utrera, Ltd. help you set up a new business checking account in the USA. In addition to a business checking account, the account also comes with an investment account and a delayed debit Gold MasterCard. Depending upon the day in the billing cycle when a charge is made, your account will continue to earn interest for up to 30 days from the date of purchase or until the balance of the debit card for that period is charged to your account. In addition, with this account you have the ability to make deposits and withdraw funds from over 800 bank locations and other financial institutions in the United States. Multiple delayed debit Gold MasterCard's are available for use by your family and employees. Internet bill payments are free. Charity Gift Aid Package
Are you familiar with the Gift Aid Program?  Once you are registered as a charity, Gift Aid provides a great opportunity for your donors to increase the value of their donations to your charity.  Provided they are UK taxpayers, you can reclaim from the Inland Revenue the basic tax rate paid on their gifts, boosting the donation by 28%.  So a gift of £10.00 from a donor is worth £12.80 to your charity!!  All you need from your donor is a simple declaration stating that they want to use Gift Aid.  We have prepared a Gift Aid package which contains all the information you need to begin collecting Gift Aid.  We have prepared all the documents with the “Giftaid It” logo which will attract donors attention and give credibility to your organization.  The fee for this package is £35.00 (plus VAT).

Indemnification Agreement and Covenant Not to Sue
We strongly recommend that you include special provisions in your Memorandum and Articles of Association and execute an additional Company agreement which requires the Company to indemnify and hold harmless it's Directors and Officers from any actions they take on behalf of the Company. This is extremely important with Charities as Directors must have specific written authority to reimburse themselves for expenses incurred as a Director from the Charity. If a Director or Officer is ever sued for actions taken on behalf of the Company, these provisions require that the Company be held responsible, as agreed upon by the Directors and Officers and the Company. These important provisions and agreements cost only an additional £50.00 (plus VAT) if ordered at the time of Incorporation.

Nominee Services for Charitable Limited Companies
There are many things to consider when you are setting up a new charity. As a matter of law, under the current Companies Act in effect, every new limited charitable company must have at least three individuals to incorporate, all three acting as company directors and one acting as a company secretary and co-director. The details of these individuals are set forth on the Companies House register and become a part of the public record. Additionally, these individuals must certify all documents filed with the Charity Commission upon registration. As a result, many people are reluctant to assume these positions and you may not be able to incorporate because you do not have the additional people needed to assist you.

To address this problem, we offer nominee services. Using these services, you can set up your new charitable company immediately even if you are short one individual. Additionally, it allows you to protect personal details you do not want disclosed on the public record. Please read through the services described below. We invite you to call with any questions you may have as to how these nominee services can be used with your new company.

Nominee Secretary Services
If you are setting up your charitable company, but do not have a second person to act as your company secretary which is required by the Company Law, then you can use our nominee company secretarial services. We will sign on your behalf as the company secretary for the company. The terms and conditions of this service are set forth in our Nominee Secretarial Services Agreement which you must sign and return to us. The Solicitor confirming the order will forward the Agreement to you for review and signature. The fee of £49.95 plus vat covers the first ninety day period of the company’s existence or you may elect for us to provide one year service for £149.95 plus vat, provided it is ordered at the time of the formation of the company. Regardless of the length of service which you select, you must elect to continue the service 30 days prior to its expiration because we will not continue to serve as the company secretary after the expiration date.

Nominee Secretary Services Plus
With this service, as set forth in our nominee company secretary plus agreement, we act as the charitable company secretary for purposes of opening the company, we also agree to assist with opening a banking account for the company at the Director’s direction. The terms and conditions of this service are set forth in our Nominee Secretary Services Plus Agreement which you must sign and return to us. The Solicitor confirming the order will forward the Agreement to you for review and signature. The charge for this service £99.95 plus vat for the first ninety days of the company’s existence or you may elect to obtain this service for one year at £299.95 plus vat, provided it is ordered at the time of the formation of the company. If you chose the one year nominee company secretary service plus, we will also complete your first annual return at the end of the year. Regardless of the length of service which you select, you must elect to continue the service 30 days prior to its expiration because we will not continue to serve as the company secretary after the expiration date.

Nominee Director Services
In order to set up a limited charitable company in England or Wales, the company must have both a company secretary and three company directors. If you need an individual to act as a company director for the company at the time you incorporate, for only £49.95, per each Director, plus vat you can use our nominee director services. The terms and conditions of this service are set forth in the Nominee Director Services Agreement which you must sign and return to us. The Solicitor confirming the order will forward the Agreement for review and signature. The fee of £49.95 plus vat covers the first ninety day period of the company’s existence or you may elect for us to provide one year service for £149.95, per each Director, plus vat, provided it is ordered at the time of the formation of the company. Regardless of the length of service which you select, you must elect to continue the service 30 days prior to its expiration because we will not continue to serve as the company nominee director after the expiration date.

Service Agreement

If your Company is a service business, you’ll need a Service Agreement.
The bedrock foundation of many service businesses is a customized written agreement entered into with its customers. Many franchises sold for tens of thousands of pounds are business formats revolving around a Service Agreement. The key with a Service Agreement is to make it work as a marketing tool offering the business services in the widest variety of formats to your customers. For example, a one-time use customer needs to be converted to a monthly, quarterly or annual type repeat customer. At Spiegel & Utrera we want to help you get, and keep, your customers while looking professional and at the same time maximizing each sale with a friendly service agreement. A Service Agreement is only £367.95 if ordered at the time of forming your company. We will prepare a draft of your Service Agreement and deliver the draft by fax or email to you for your review. Once you have had an opportunity to review the Service Agreement we will meet over the telephone to discuss the various aspects of the draft Service Agreement. Thereafter, Spiegel & Utrera will make changes to the Service Agreement to finalize it. Once the Service agreement has been finalized and delivered to you, you should take it to your printer to be printed and padded so it will always look professional and non-negotiable.

Buy/Sell Agreements
If you have been the owner of a pre-existing business and now are setting up a Company, you must execute a buy/sell agreement, transferring the assets of the old business to the new Company.  This agreement is necessary to ensure that the new Company assumes the obligations of the old business and agrees to pay the outstanding obligations and debts of the Company!  As Lawyers, we will prepare the agreement and any other required documentation to ensure that the assets and debts of the old company are properly transferred, increasing your protection from personal liability for the old business.  We can prepare the necessary agreement and documentation for an additional fee of only £99.95 (plus VAT).

Commercial Letting and Conveyancing
Setting up a new business often involves the letting of commercial premises such as a retail storefront or office. When letting a commercial premise, most Landlords require the Tenant to engage the services of a Solicitor to act as the legal representative of the company letting the new premises. We realize this can be a great expense for a new business. To assist our clients, we can act as your Solicitor in commercial lettings and conveyancing for a fee of only £400 plus vat. This is a flat fee which covers review, consultation with a company representative (generally this means you) and execution of the letting documents. By utilizing our services you are able to let the premises you need at the lowest cost to your new business! We will also advise as to the need for revisions in the lease for automatic renewals, break clauses, signage rights, rights to assign, insurance and other provisions that will protect your new business! Bearer Share Warrants
In England and Wales, Companies are allowed to issue bearer share warrants.  The effect of the issue of a share warrant is to make the bearer of it absolutely entitled to the shares named in the warrant and the ownership as a result can be transferred by MERE DELIVERY.  For example if you have a Bearer Share Warrant and give the warrant to your friend, he becomes absolutely entitled to ownership of the shares named in the warrant.  Setting up your Company with share warrants gives you great flexibility and transferability of the ownership of the Company.  We can set up your company with bearer share warrants for an additional fee of £50.00 (plus VAT).

Data Protection Notification
The Information Commissioner maintains a public register of data controllers. Almost any type of business which collects personal information from clients is considered a data controller. This allows individuals to consult the register to find out what processing of personal data is being carried out by a particular data processor. Notification is the process by which a data controller’s details are added to the register.

The Data Protection Act requires every data controller who is processing personal data to notify unless they are exempt. FAILURE TO NOTIFY IS A CRIMINAL OFFENSE.

We can prepare the notification application for your Company for a fee of only £35.00 (plus VAT).

Money Laundering Registration
If you are going to be providing a money service business (Bureaux De Change, Money Transmitter or Third Party Cheque Cashers) or if dealing in goods and accept cash  in the equivalent of £10,000 or more per any single transaction, you must register your company under the money laundering regime. Money laundering  is exchanging criminally obtained money or assets for "clean" money or other assets with no obvious link to other criminal offense. We can prepare the registration documents for you for a fee of £35 (plus VAT).
You must pay £60 to HMRC upon registering. Failure to do so can result in fines and/or an offense.

Trademark Registration
Remember your company name, slogan or logo is your property and you should protect it. Filing the name with Companies House is not enough! To prevent others from profiting from your reputation or brand, you should register your name, slogan or brand as a Trademark. Spiegel & Utrera can complete your trademark registration for as little as £500 plus VAT.

TAX RELATED

Tax Break Information
We have prepared a packet of information to advise you as to the most tax advantageous way to set up and operate your Company.  The packet explains ways to take advantage of tax breaks available to new Companies in England and Wales.  We can add the Tax Break Information packet to your Company package for a fee of £25.00 (plus VAT).
Lender's Agreement & Promissory Note

Initially a company needs capital. Additionally, the company may require a continuing advance of capital for some time. How does it get the capital? After the initial purchase of shares of the company for at least their nominal value, generally, the company has two choices on obtaining additional capital; (1) shareholders pay for their initial shares in excess of their nominal value thereby creating excess Paid-in Capital or (2) loan money to the company. Lending money to the company is the preferred method because the lender is seen as a creditor of the company. The lending of money to the company is accomplished with a Lender's Agreement and a Promissory Note. Both of these instruments together provide for an initial amount of a loan to the company and also provide for future advances of money the lender might make to the company. In the event of failure of the business, the loan will be fully tax deductible by the lender as a bad debt. Additionally, the lender may take this concept one step further and secure his or her loan to the company by using a Security Agreement. The Security Agreement is much like a mortgage generally securing all the assets of the company and the Security Agreement can be recorded as a registered charge to perfect the lien the lender may have against any other subsequent creditors of the company. The fee for the Lender's Agreement and Promissory Note at the time of incorporating is only £50. The Security Agreement, if ordered at time of incorporation, is an additional £50.

PAYE Reference Number and
New Employer Starter Packet For National Insurance Contribution

This is the number you must have to set up you accounts properly when dealing with income tax and national insurance contributions.  Even if you are the only employee of the business, you must have the reference number to maintain your personal insurance coverage.  We can register your company with Inland Revenue to obtain your PAYE reference number which will be sent directly to you by Inland Revenue along with your new employers starter pack containing the forms and guidance you need to deduct the right amount of income tax and national insurance contributions.   We can prepare the registration paperwork for you for just £35.00 (plus VAT).
VAT Application

VAT is a tax on consumer expenditure collected on business transactions, imports and acquisitions.  It applies to selling new and used goods including hire purchases, providing services such as hairdressing and decorating, charging admission prices to go into buildings and self-employed people providing supplies.  Even if you are not required to register for VAT you may voluntarily register to recover VAT incurred in relation to the taxable supplies made.  You must also register if you are going to claim exemption from VAT.  We can prepare the VAT registration paperwork for your Company for just £35.00 (plus VAT).

Pseudo Trader's Unique Reference Number (TURN) Application
Many new companies face a dilemma as they seek to import goods from outside the UK. It takes months to obtain a vat number and they need to clear imported goods through customs. The solution is to apply for a Pseudo Trader’s Unique Reference Number (TURN). If you are importing goods into the UK for commercial purposes from outside the EU you can obtain a Pseudo Trader’s Unique Reference Number (TURN) in order to clear the goods through customs. This number can be used until you have obtained a vat number for your company. We can prepare the required written application for a fee of £35 plus vat. Once you have the number, you can also use it for exporting until your company has obtained a VAT number.

Application for a Consumer Credit License
Is your business connected in any way with transactions that give customers time to pay?  For example, hire purchases or leases for more than three months, installment sales, credit cards, debt adjusting/counseling, debt collecting, credit reference agency or calling individuals and trying to persuade them to take credit?  Even if you do not charge for these services or are a non-profit type business or if that activity forms a small part of your business, company or license, according to the Consumer Credit Licensing Act 1974, no business, company or individual should engage in the activities set forth above unless they have a Consumer Credit License.  It is a criminal offense to engage in such activities before you are licensed.  Before you apply for your license, the name of your Company must be available.  We can conduct a search to make sure the name you want to use is available for £35.00 (plus VAT).  Thereafter, we can prepare the Registration for your company for a fee of £50.00 (plus VAT).

Debt Collection and Commercial Debt Counseling Consumer Credit Licensing
If you are going to be providing debt collection, commercial debt counseling, commercial debt adjusting or commercial credit repair, you must obtain proper licensing. In additional to the standard application procedure, you are required to submit a Credit Competence Plan supporting your application. This is a thorough analysis of your company procedures, training and competency to determine if you are fit to hold the license. If you knowingly or recklessly misrepresent or fail to reveal the information that you are asked to provide, you will have committed a criminal offence under the Consumer Credit Act 1974. We here at Spiegel & Utrera Ltd. are solicitors and we can prepare the plan for you so that your application is processed smoothly and quickly. It is extremely important that the plan is prepared properly or your company can be subject to review and possible disqualification or criminal charges. Our fees for the Credit Competence Plan start at £250 plus vat. One of our solicitors will contact you to confirm your needs and the fees.

New Contractors Application For Registration Card or Tax Certificate and Starter Packet
If you are a subcontractor in the construction industry, you will have to register to obtain payment from a contractor.  If you qualify for a tax certificate, then you will be paid by the contractor the gross amount owed to you.  If you do not qualify, then you will be issued a registration card, and you will be paid the net amount after tax and NIC contribution deductions.  We can prepare the initial application for you for a fee of £35.00.  REMEMBER, you must have either the tax certificate or the registration card to be paid in the construction industry.  If you are a contractor and you hire and pay subcontractors to carry out construction work, or if you are not a contractor, but are a public body, a governmental department or a business who engages in construction business with an expenditure in excess of £1 million during the prior three years, then you will have to participate in the construction industry scheme.  We can prepare the applications for you to give to any possible unregistered subcontractor for a fee of £35.00 (plus VAT).

Directors/Employees Shares Disclosures
If employees or directors acquire shares or certain other securities or options to such shares or securities in connection with employment, notification must be given to Inland Revenue. Failure to file by the companies responsible person can result in a fine of £300 initially and £60 per day  there after,  if violation continues. Therefore, every new company that transfers shares to a director or an employee must give notification of such fact to Inland Revenue. We can prepare the notification documentation for a fee of £35.00 (plus VAT).

Company Registration with the Charity Commission
By law any company set up to act as a charity with an annual income of £1000 a year or which is using or occupying land or has assets which constitute a permanent endowment with a restriction as to how the income can be spent, must register with the Charity Commission.  Upon registration, the Company becomes eligible for tax breaks available to charities and is also able to raise funds from the public,  grant making trusts and the government.  We can guide your Company through the entire registration process for a fee of £249.95 (plus VAT).

Company Registration with Inland Revenue
Even if your Company is not required to register with the Charity Commission, the Company must alternatively be registered with Inland Revenue in order to participate in Gift Aid and other Inland Revenue programs for Charities.  We can prepare the registration for your Company for a fee of £50.00 (plus VAT).

Business Names

Will you be doing business under the exact name of the Company?

If the Company will be doing business under a name other than it’s legal name, it is no longer required to register, but may need approval from the Secretary of State to use the name desired.  We can obtain business name approval for you in conjunction with the incorporation process.  We will ensure compliance with all applicable laws.  The process takes approximately 3 weeks and all legal fees are included.  The fee including shipping and handling is only £75.00 (plus VAT).

Shareholders Restrictive Agreement
If your Company has more than one shareholder, we strongly recommend you enter into a Shareholders Restrictive Agreement. This agreement is entered into by the shareholders to define their duties and responsibilities to each other and to the Company. It is like a partnership agreement between the Shareholders. A draft of this agreement will be prepared as part of our service, so you may review the Agreement and make changes and discuss it with one of our solicitors. Normally, the fee to prepare such a comprehensive agreement of this nature would be £1,500.00 or more. However, your cost is only £99.95 (plus VAT) if prepared in conjunction with the incorporation process.

LEASE AGREEMENTS

Home Office Lease
This is a written lease agreement where you can detail the use of office space in a home or apartment by a Company for use as the Company's principal place of business.  The lease reduces the Company’s overall tax burden and pays you to use space in your home. The Home Office Lease is only £99.95 (plus VAT) when ordered with your Company, and as an added bonus to our clients, we draft the Lease in such a manner that it is automatically renewable.


Motor Vehicle Lease

If you use your vehicle for business purposes, it is usually much more advantageous to keep the vehicle in your name and lease the vehicle to the Company. This reduces the overall taxable income of the Company and you receive payments for use of your vehicle.  We can prepare the lease for only £99.95 (plus VAT) when ordered with your Company.

Office Equipment Lease
A lease which details the leasing of office equipment owned by you to the company. Once again, by leasing equipment to the Company, you create a legitimate business expense for the Company and reduce the overall tax liability for the Company. The cost for an Office Equipment Lease is only £99.95 (plus VAT), when ordered with your Company.

EMPLOYEES / CONTRACTORS

Employment Agreement
If you are using employees in your business, it is important to have a written  Employment Agreement to document the conditions of Employment. An Employment Agreement can be very advantageous for a business and should be required for all employees, whether new or existing. It creates a clear understanding of the arrangement between the employee and the Company and provides protection for the business.  The Employment Agreement also contains other important provisions:

  • It spells out the terms of employment, such as the duties, responsibilities and compensation of the employee.
  • It states that the employee will not compete against the Company for a specific period of time after leaving its employment.
  • It prohibits the employee from disclosing any of the Company's business records, computer data, trade secrets, methods of operation, et cetera.
  • It prevents the employee from soliciting customers or clients of the Company.
  • It prevents an employee, after leaving the Company's employment, from stealing the Company's employees.

The Employment Agreement is prepared in such a way that you can use it over and over again to avoid additional costs in the future. By having this Employment Agreement, the Company is given substantial clout in preventing an employee from joining a competitor, or competing against the Company and disclosing business secrets to anyone. The Agreement may be re-used by the Company as it hires additional employees.  The cost of the Employment Agreement is just £99.95 (plus VAT).

Independent Contractor Agreement
By hiring independent contractors which are self-employed as opposed to employees, you can avoid your obligation to PAYE and to deduct Class 1 National Insurance Contributions from employees' pay and you can limit your responsibilities under the employment protection acts, and your obligations relating to statutory sick pay and statutory maternity pay.
